Abstract
Cilj ovog završnog rada je pojašnjenje i prikaz statusnih promjena koje trgovačka provode na temelju Zakona o trgovačkim društvima i temelju vlastite volje iskazane preko upravljačkih organa društva. Obzirom da moderno tržište zahtjeva neprekidnu pažnju i imajući u vidu stalno udruživanje gospodarskih subjekata u svrhu povećanja poslovanja i dobiti statusne promjene važan su dio trgovačkog prava u Republici Hrvatskoj, ali i inozemstvu. U radu ću objasniti sam postupak upisa statusne promjene društva u sudski registar i elaborirati posljedice provođenja statusne promjene i njihov utjecaj na trgovačko društvo i sve pravne, socijalne i gospodarske posljedice koje su izazvane statusnom promjenom društva.
Abstract (english)
The aim of this final thesis is to explain and present the changes in legal status that commercial entities undertake based on the Companies Act and their own volition expressed through the governing bodies of the company. Considering that the modern market requires continous attention and the ongoing consolidation of economic entities for the purpose of business growth and profit, changes in legal status are an important part of commercial law in the Republic of Croatia, as well as internationally. In this paper I will explain the procedure for registering changes in legal status of a company in the court registry and elaborate on the consequences of implementing such changes and their impact on the company, including all legal, social and economic ramifications caused by the change in legal status of the company.
